BUYER’S/USER’S RESPONSIBILITIES : It is tre BUYES’S/user’s responsibility to inspect and verify ne dimensions, spec:fications, and performance of all products and parts as being appropuiate for the use to which the BUYER/user will USE them prior 10 ay actual installation and/or use of said products and parts. ALL products and parts are to be inspected by the user before each use for evidence of damage. defect or wear. Any dewation by the user from the manufacturer’s specifications concerning use, Maintenance, repair, alterarors and modifications constitutes wiltfu: negligence.
VEHICLE MODIFICATIONS: Vehicle modifications can potentally affect safety. handi ng, stabil’ty and emissions compliance. Suspension modifications can negatively affect stabirity and increase the chance of rollover. The consumer accepts alt responsibility for all resulting changes and modifications to said vehicle(s) and all potential risks AND FINESAMPRISONMENT FOR NON-COMPLIANCE WHITH STATE AND FEOERAL LAWS. The installation of ASSUALT INDUSTRIES’ products or parts may adversely affect other vehicie components, safety equipment or manufactured goods {collectively “goods”}. ASSUALT INDUSTRIES assumes no respans bility for any damage to other goods, or bodily injury that may arise due 10 failure of other goods, due to instal ation and/or use, either proper or improper, of its products or parts.
SAFETY CLAIMS: No warranty or representation is made as to this product’s ability to protect the user from injury or death. the BUYER/user IS responsible for HIS/HER own act:ons and dec:sions. No safety product can completely protect the user from injury or death.
SEVERANCE OF DISCLAIMER PROVISIONS: By purchasing or using this product. the BUYEA‘Lser agrees that if any prov.sion of this Disclaimer is held to be illegal, invalid or unenforceab’e under present or future law. such provision shall be fully severed from the Disclaimer and ths Disclamer shali be construed and enforced as if such ilegal, invalid o” unenforceable provision never cormprised a part heveo‘, and the remaining provisions hereof shall rema:n in full force and effect and shall not de affected by the legal, invalid or unenforceable provision. there shall be added automaticatly as part of this Disc’aimer a prov.sion as similar in ts terms to such ‘legal, ‘nvatid or unenforceable orovision as may be sossible and be legal, valid and en’orceable.
TERMS AND CONDITIONS

  1. DEFINITIONS USED HEREIN: “Agreement” means this docunent. including any attached or affixed pages (e.g. purchase orders, invo ces. etc.) and the terms and cand-tions conta. ned herein. “Assaut” means Assault Industries, a Calforna corporation, inctuding any affiliate, successor o” predecessor compan es. “Buyer” means the Buyer identified in any order of Goods wich is nereby made a part of this Agreement. “Goods” means the goods, materials, parts. supplies and/or services supplied by Assault to Buyer.
  2. COMPLETE AGREEMENT: All purchases of Goads by Buyer are sudject to the terms and cand-tions of this Ag-eerent regardiess cf other or additional terms or conditions snat cantiict with or contradict this Agreement in any purchase order, document, or other communication. Prepnnted terms and conditans on any document of Buyer and/or Assault failure to object to confiicting or addtional terms vill not change or add to the terns of ths Agreement. This Aqreerrent supersedes and replaces all previcus reques:s, quotations, a-ders or agreements concerning the Goods. Any additional or d-Herent terms w:ll not becane part af the contract or agreement for the sale of the Goods and are hereby objected to by Assault without further notice urless made in writing and sigred by an authorized representative of Assau’t. The terms and cond tions are subject to change and upon such change those terms and conditions shal: contro! al future orders trom Buyer.
  3. PRICES AND PAYMENT : Prices are subject 10 change at any tine without notice. All orders are subject to acceptance by Assault, aS Assault may refuse to Complete any order for any lawful reason and/or Assault has any reason to believe that Buyer’s Representations and Warranties in Paragraph 14 are false and/or misleading. Any appl: cable taxes or other governmental impositions, which Assault may be required to pay or collect, will be added to the price and paid by Buyer unless Assault rece-ves a valid exemption certificate. Payment in full is due at time of order. Ali sales are fina’.
  4. TITLE, DELIVERY AND RISK OF LOSS: Unless otherwise stated, Assault best judg-nert wil? be used in rout ng stipmenss and subject to its Shipping Policy. Tive to the Goods and tiabi‘ity for loss or damage in transit or thereafter shall pass 10 Buyer upon Assauit delivery of the Goods to a comma. carrier far shipment. Shipping dates are not qua‘anteed, Assault disclaims any direct or indiect liability for any damages suffered by Buye’ which result from delays in delivery,

SHORT, DAMAGED OR DEFECTIVE GOODS : Buyer agrees to inspect ali Goods within three days of receipt when shipped, or immediately upon receipt if delivered in person fram Assault personnel to Buyer. After that time a’l Goods are deemed to be accepted. Claims tor Goods delivered short, errantly, damaged or detective (not due to fault of carrier) shall De filed in writing with Assault within five days after date of sh prrent. Upon acceptance of Buyer’s timely written claim and issuance ot @ yaritten return authorization (AA), Assault ag-ees to repair, replace. or, at Assault option, issue cred: for all defective Goods which have not been altered, machined or finisned. provided the Goods are returned unaltered with a valid AA to Assault facility within 20 days of shipment. Assaull reserves the right to refuse delivery af any Goods returned without a va’id RA. Buyer must prepay all eight, which will be reimbursed by Assaull for defectwve, damaged or errant Goods.  Claims for Goods de‘ivered short, errant, damaged or defective as a result of the fault of the carrer will be handled oy Buyer directly with the carie”,
  6. EXCUSABLE DELAYS: No lability shall result from delay in performance or non perfo‘mance, directly or indirectly caused by circumstances beyond Assault control, which include. but are nai limited to, Acts of God. fire. explosion, flood, war, terrorism, act of or authorized by any government, acciden:, labor trouble, or shortage or inability to obtain material, equipment or transportation. Quantities se affected may be elim nated from the Agreement w-thout liabiiity, Dut the Agree nent shall remain otherwise unaffected.
  7. LIMITED WARRANTY AND WARRANTY DISCLAIMER: Assault warrants its Goods to be free from materia defects in material and workmanshp for 90 days from delivery except: (a) when Goods have been mod:fied or altered following delivery ana‘or subject to improper handiing, storage, installation, operation. or maintenance; (b} when an item is purchased by Assault as a component part of the Goods, except to the extent to which such item or items are covered by the warranty, if any, of the originat manufacturer: (c) when any component of or instrument used to manufacture the Goods was provided or sod to Assautt by Buyer, or otherwise specified by Buyer. and (d) no warranty of a component oart shait extend beyond the warranty period of the device in which such component part is incorporated. Any claim by Buyer made pursuant to Assault warranty Must be Made in writrng during the warra rly period. Assault shall nave the right to inspect the Goods clained to De defective and shall have the ign to determ.ne the cause of such alleged defect. Assault agrees to repair, replace, or. at Assault option, issue credit fa’ a1 Goods deemed defective undey Assau’t limited warranty. All Goods reptaced or repaired by Company under as warranty snall be replaced or repaired F.0.8. Assaul: facility. Except as express:y stated here:n, Assault makes no other warranties Concerning the Goods whatsoever. THE AGENTS AND EMPLOYEES OF ASSAULT ARE NOT AUTHORIZED TO MAKE MODIFICATIONS EITHER WRITTEN OR ORAL TO THIS WARRANTY OR AGREEMENT, OR ANY ADDITIONAL WARRANTIES WHICH MAY BE BINDING UPON ASSAULT, ACCORDINGLY,ADDITIONAL STATEMENTS BY ANY EMPLOYEE OR AGENT OF ASSAULT, WHETHER ORAL OR WRITTEN, DO NOT CONSTITUTE WARRANTIES AND SHOULD NOT BE RELIED UPON BY BUYER. ITS EMPLOYEES, AGENTS, REPRESENTATIVES OR ANY THIRD PARTY. ASSAULT DISCLAIMS AND EXCLUDES ANY AND ALL OTHER EXPRESS WARRANTIES AND ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR & PARTICULAR PURPOSE.
  8. LIMITATIONS OF REMEDIES ANO DAMAGES: Buyer agrees that Assault obigations described in Paragraph 7 $ Buyer’s sole and exclus ve remedy, and that Assault total liaD lity to Buye. Buyer’s customers or to any other person, relating to this Agreement. its performance or non-performance, o from the use of Goods furn- shed. is limited to the o-ice of the Goods anayor services giving r:se to the claim, Except as to title, such obligation and liabi ity shall terminate 90 days from delivery. ASSAULTAND 17S SUPPLIERS WILL NOT, IN ANY EVENT. BE UABLE FOR ANY SPECIAL. INCIDENTAL, CONSEQUENTIAL QR PENAL DAMAGES INCURRED IN CONNECTION WITH THE GOODS, WHETHER ANY CLAIM FOR RECOVERY IS BASED UPON OR ARISES OUT OF THEORIES OF CONTRACT, NEGLIGENCE, TORT (INCLUDING STRICT LIABILITY} OR OTHERWISE, including, out nat limited to back charges; labor costs: costs of removal, replacement, testing Or installation; OSs of efficiency: loss al profits er revenues: loss al use of the Goods er any associated products; damages to associated products: lateness er delays in delivery: unavailabilily of Goods: cost of cap tal: cost of substlute: Goods, fac lities or service: downtime: or c’aims from Buyers Customers or ather parties to Buyer or directly to Assault for such damages.
  9. INDEMNITY: Buyer shall release, indennify, defend and hoid Assault harmiess, and its present and future officers, cirectors. officials, employees, agents, subsidiaries, affilates, successo’s and ass:gns from any arg all liability (nclLding without Imitation lability for negligence or strict lability}, clains, losses, suts. demands, penatties. fines, fortetiuzes, damages and costs {neluding “easonable attorney’s fees) caused by, arising out of or relating to: (a) any form of intellectual property Claim related to designs. instructions, specifications o- incellectua: property developed 9° fu:nished by Buyer, (b) ary claim related to any component of or instrument used to manufacture the Goods provided o- sold te Assault ay Buyer, or omervise specified by Buyer; {c) any claim re‘ated to the combina? or of the Goods with any hardware, text, graptics, sottware or other device supplied a” specified by Buyer, and (d) any claim arising from the modification a” a’teration of the Goods dy Buye”: je; Buyer’s neg igent, unlaytul, or ima-oper use of the Goods and (f) any ‘iens, ‘iabil ties, damages, costs. expenses and the like aris ng out of or related to any form of claim cavered under this Paragraph.
  10. CLERICAL ERRORS : Stenographical and clerical e-rors are subject to ca-rection.
  11. APPLICABILITY: This document and any supsequent Agreement referred to herein shall be governed by and construed in accordance witn tne laws of the State af California, including the California Uniform Cammercial Code. This Agreement shall > nding upon the successors, assigns, affiliates and any other related ihird parties of Buyer.
  12. SEVERABILITY: Invalidity of any of the 1e”ms provxied herein shail rot affect the validity of ary ather term.
  13. WAIVER: Waiver by Assau’t of Buyer’s performance, ov inaction with respect to Buyer’s breach of any provision of this Agreement, or fai ure of Assault to enforce any prov.sion of this Agreement, will not be deemed a waiver of future compliance or deemed a course of perfa‘mance modifying such provision, and such pravision wil remain in full force ang effect as written.
  14. REPRESENTATIONS AND WARRANTIES: By placing an order with Assault, Buye’ represents and warrants all of the ‘ollowing are true and Correct as Assault is speci’ cally retyiig or all of Buye’’s representations and war-a1l.es in agreeing to accept and fulfill Buyer’s order: (1} Buyer has independently verified all applicab’e federal, state, and loca’ laws and confirmed Buyer is law‘ully permitted 10 purchase and own the Goods, (2) that Buyer wil only modify or alter the goods in comphance vith all applicable federal, state, and toca’ faws; (3} the Buyer acknowledges and accepts that the Goods, unless expressly stated othe-wise, have not been reg.stered witn any gove-ning body: (4) that Buyer will not transfer me Goods if altered or modified unless expressly permitted by applicable law: (5) that Buyer will only use the Goods in compliance with all applicable laws to which Buyer may be subject; and (6) Buyer has not relied on any statement made or implied by Assault in making any representation or warranty in this Paragraph.
